Did you know that Massachusetts is a commonwealth?
William Francis Galvin is the Secretary of the Commonwealth of Massachusetts. Do you know that four states, including Massachusetts, are designated as commonwealths? The other three states are Pennsylvania, Virginia, and Kentucky. These commonwealths are still considered states, but other states are not considered commonwealths. Legally, Massachusetts is a commonwealth because the term is contained in the state constitution. When the state constitution was ratified in 1780, “commonwealth” was a popular term for a whole body of people constituting a nation or state. Political writers also preferred the term and held some anti-monarchic sentiment among the populace. (MA SOS)
Document retrieval and filings in Massachusetts
Before extending credit or entering into agreements, stakeholders often perform UCC searches to assess outstanding claims or encumbrances against a debtor. In Massachusetts, document retrieval and business filings are managed through well-established processes overseen by the Secretary of the Commonwealth. For Uniform Commercial Code (UCC) filings, creditors file UCC-1 Financing Statements to secure interest in debtor assets, with amendments, continuations, and terminations completed via UCC-3 forms.
Corporate formations in Massachusetts require filing Articles of Organization, which officially establish the entity. The process includes selecting a business structure (such as C-Corp or S-Corp), appointing directors and officers, designating a registered agent, and outlining the company’s stock structure and purpose. Corporations must also file annual reports by a specified deadline to stay in good standing.
In Massachusetts, most UCC filings cannot be made at local county or municipal offices. Since July 1, 2001, all UCC filings—excluding real estate-related filings such as fixture filings—are centralized and must be submitted to the Secretary of the Commonwealth’s UCC Division in Boston. Real estate-related UCC filings may be filed with the relevant county Registry of Deeds.

- The state flower, the Mayflower (Epigaea repens), was adopted as the official flower of the Commonwealth on May 1, 1918. Unfortunately, it has been on the endangered list since 1925.
- The American Elm (Ulmus Americana) was adopted as the state tree on March 21, 1941. In 1775, General George Washington took command of the Continental Army beneath this tree on Cambridge Common.
- The Black-Capped Chickadee (Penthestes atricapillus) was adopted as the state bird by the Massachusetts General Court on March 21, 1941. It is also known as the titmouse, tomtit, and the dickybird, and it is one of the most familiar of the North American birds.
- The Boston Terrier (Canis familiaris bostenensis), the first purebred dog developed in America (1869), is a cross between an English bulldog and an English terrier. The General Court recognized it as the state dog on May 14, 1979. Conversely, on advice from the school children of Massachusetts, the General Court named the Tabby Cat (Felis familiaris) the official state cat on July 11, 1988.
- Yummy! Cranberry juice was named the beverage of the Commonwealth on May 4, 1970, to honor the Massachusetts cranberry industry. Once again, on advice from the schoolchildren of Massachusetts, the General Court named the Corn Muffin the official state muffin on May 27, 1986. And you guessed it: Boston Cream Pie and Boston Cream donuts are also official treats in the state.
